Terms of Service

We offer the following services. Descriptions and prices on this website are a general guide:

• Website Development: a professional website for your business, with an ongoing monthly plan that keeps it hosted, maintained, and running.
• In-House Technology Consulting: an on-site review of your technology and workflow. Available in the Toledo, Ohio area only.
• Simple App Development: custom web applications and internal business tools built to your needs.

The exact scope, price, and timeline for any project are set in the quote, proposal, or written agreement we give you ("Agreement"). If an Agreement conflicts with these Terms, the Agreement controls.

• Website Development: the one-time build fee is due when your site is completed and ready to go live. The monthly hosting and maintenance fee is billed each month after that.
• Consulting: the consultation fee is due at or before the consultation.
• App Development: payment terms, including any deposit or milestones, are set in your Agreement.

Prices may change for new work, but we won't change the price of work already agreed in writing. If a payment is overdue, we may pause work or hosting until the account is brought current.

Monthly hosting and maintenance plans are month to month. You can cancel at any time by contacting us; cancellation takes effect at the end of the current paid month. Unless your Agreement says otherwise, fees already paid are not refunded. If you cancel, we'll work with you to hand over your website content so you can move it elsewhere.

• Provide the content, information, logins, and feedback we need, in a reasonable time.
• Make sure you have the right to use anything you send us (text, photos, logos, and so on).
• Review your website or app before it goes live and let us know of any changes needed.
• Use your website, app, and this site lawfully.

Delays in receiving what we need from you may delay delivery.

You keep ownership of the content you provide. Once a project is paid in full, you own the final design and content created specifically for you, as described in your Agreement. We keep ownership of our general tools, code libraries, templates, and know-how, and you receive the right to use them as part of your project. Third-party software, platforms, fonts, and images are covered by their own licenses.

Unless you ask us not to, we may show your finished project (for example, screenshots of your website) in our portfolio and marketing.

Websites and apps we build may run on third-party platforms (for example, hosting providers, Google, and payment or email services). Those services are governed by their own terms, and we're not responsible for their outages, changes, or policies.

• Don't misuse the site, attempt to break or overload it, or access areas you aren't authorized to use.
• If you sign in, keep your account secure; you're responsible for activity under your account.
• If you submit a review, it must be honest and about your own experience. You allow us to display it on this website, and we may edit it for length or remove it at our discretion.

How we handle your information is described in our Privacy Policy.

This website and our services are provided "as is". We work hard to deliver quality work, but we don't guarantee any particular business results (such as traffic, sales, or search rankings), or that a website or app will be free of every error or interruption. Consulting recommendations are advice; decisions about your business remain yours.

To the fullest extent allowed by law, TJBA is not liable for indirect, incidental, or consequential damages, such as lost profits or lost data. Our total liability for any claim related to our services is limited to the amount you paid us for the service involved in the three (3) months before the claim.

These Terms are governed by the laws of the State of Ohio. Any dispute will be handled in the state or federal courts located in Lucas County, Ohio. Before taking any formal action, we both agree to first try to resolve the issue by contacting each other directly.

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Changes don't affect work already agreed in writing.
